These Terms, along with the prevailing terms of the membership you choose (available at [Membership Options Page]) collectively form the “Agreement.” By enrolling in or continuing your membership, you (referred to as the “Member”) agree to be bound by this Agreement, in addition to any other agreements with the membership provider.
Certain Definitions: a. “Affiliate” means any legal entity directly or indirectly connected with a party through control. b. “Alliance Program” signifies a facilitated program offering benefits to Members from affiliated associates. c. “Membership” pertains to the relationship between the Member and the membership provider. d. “Service Client” refers to an independent business utilizing a service program. e. “Service Program” denotes a provided or facilitated service offering.
Provider Responsibilities: a. The provider will regularly make available the most current Terms, membership information, and study group invitations. b. The provider will explore cost-effective programs for various materials, products, services, and education to enhance the efficiency and profitability of the Member’s business.
Member Responsibilities: a. Members must adhere to the terms, conditions, and policies of affiliated associates and any external sites accessed through the membership. b. Members shall maintain confidentiality of agreements with associates and not use such information to obtain additional concessions.
Optional Analysis Software Program: Members may opt into an analysis software program. The software’s use is subject to separate terms provided by the software provider.
Relationship and Disclaimers: a. No joint venture or partnership is created. The provider is an independent contractor facilitating transactions. b. The provider is not responsible for product defects or damages arising from the Member’s purchases. c. Legal and tax services are not provided, and the provider disclaims liability for the same. d. The website content is provided “as is,” and the provider is not responsible for external links or third-party content. e. The provider is not involved in employment transactions and disclaims liability related to hiring processes. f. The provider disclaims warranties related to products, services, and website use. g. The provider is not liable for indirect or consequential damages.
Term and Termination: Membership is governed by these Terms until termination. Termination may occur by either party under specified conditions.
Satisfaction Guarantee: Members enrolling in an Alliance Program after a specified date are eligible for a satisfaction guarantee, subject to certain conditions.
Amendments: The provider may modify these Terms or the website content at any time.
Payments by Member: Members agree to pay applicable dues, fees, and charges as required by the provider.
Indemnification: Members will indemnify the provider against losses arising from Membership.
Cooperation and Access: Members agree to cooperate with reasonable requests for information from the provider.
Jurisdiction/Venue: The Agreement is governed by the laws of the specified state, with venue for disputes in a designated district.
Entire Agreement: This Agreement represents the complete understanding between the parties.
No Third Party Beneficiaries; No Waiver: The Agreement benefits only the parties involved, and no waiver of rights is implied.
Administrative and Marketing Fees: The provider may receive compensation from associates, and a list of such associates will be provided to Members.
Notice: Notices by Members shall be in writing, delivered by mail or email to the provider.
Severability: If any part of this Agreement is deemed invalid, the remaining portions remain in force.
Electronic Signature: Electronic signatures hold the same force and effect as manual signatures.
